Terms of Service for Business Membership and Listings

1 General
Business listing privileges are granted by Gold Place Network LLC to an individual or a corporation, and are granted specifically to the subscribing registered member only. Business listing rights cannot be assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise transferred to anyone other than the registered member without the express written permission of Gold Place Network LLC. Gold Place Network LLC requires that each registered user maintain a valid email address.

Gold Place Network LLC has the right to refuse service to any member, individual, organization, or firm (and all members associated or affiliated with said organization or firm) that refuses to abide by this Agreement, or abuses their rights related to the services.

You agree to maintain accurate contact information (specifically, a valid phone number and email address) in order to submit and maintain active business listings on the website.

We utilize email as a vital and primary communication channel with customers. As a registered user, you hereby acknowledge and grant Gold Place Network LLC the permission to communicate with you via email (as well as other communication channel such as phone and fax) for any purposes Gold Place Network LLC determines to be relevant including, but not limited to, system messages, product updates, service announcements and other marketing messages. We will use best efforts to honor a request to opt out of marketing messages, but under no circumstances will we have any liability for sending any email to you.

Gold Place Network LLC may, in its sole discretion but without any obligation to search for such, remove business listings that are alleged to have been submitted in violation of this Agreement. In addition, Gold Place Network LLC may require additional evidence of compliance with this provision from you if you are alleged to have submitted information in violation of this Agreement.

Gold Place Network LLC will, in its sole discretion, terminate the accounts of, and refuse service to, any user who repeatedly or knowingly violates this Agreement.

2. Accuracy
You (a) represent and warrant that all business listings and associated information provided by you will be accurate; (b) agree that not posting a listing on the website under a name other than your legal personal or business name (c) agree to maintain the listing accuracy at all times. Gold Place Network LLC reserves, in a manner consistent with reasonable commercial business practices, the right to remove all or any part of the business listings posted on the website. Gold Place Network LLC accepts no responsibility for checking the accuracy of details, reports or data files you submit.

3 Transfer of rights
You agree to allow submitted listing(s), or any part therein, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to by Gold Place Network LLC and/or users of the website. Gold Place Network LLC shall have the sole authority to choose the manner in which any listing will be searched, displayed, accessed, downloaded, copied, and otherwise used on the website and Gold Place Network LLC shall have the right to modify the listing in the exercise of its rights under this Agreement.

4. Business listing review

In order to maintain quality/value and promote a quality business directory for our communities, small business, corporations, business professionals and our advertisers, we review every listing request. Final determination on whether a business listing is accepted is made at Gold Place Network's sole discretion.

If you provide a link to a website in your listing we will review your website (which must be active) and the category you choose must follow the above guidelines. Business listings that violate any of the terms and/or conditions in this Agreement will not receive an approval for active posting on the website until the issue in question has been addressed.

All business listings entered on the website may be subject to review by Gold Place Network LLC to check if they are in compliance with the instructions of this Agreement, prior to becoming available for full viewing online ("listing review"). The listing review is made within 5 business days from day it was submitted.

In the event that a listing review determines a business listing violates this Agreement (including but not limited to containing inaccurate or incomplete information), Gold Place Network LLC will send you an email message about such business listing, clearly stating how such proposed business listing does not conform to this Agreement. After you receive such notice from the Publisher, you will be given a reasonable amount of time (routinely, 2 business days) to respond. It is then your sole responsibility to revise the business listing as appropriate, and resubmit the corrected listing.

Once the appropriate revision has been made, and Gold Place Network LLC determines the business listing is compliant with this Agreement, the listing will be made available for full viewing on the website. However, if you fail to respond to the email communication from Gold Place Network LLC in its sole discretion reserves the right to remove any and all content that continues to violate the listing policies and/or this Agreement, including disallowing listings from the website.

Although your business listings may be subject to a listing review, you remain solely responsible for abiding by this Agreement.

5 Listing Policies
Habitual abuse of this Agreement by you may, at the sole discretion of the Publisher, lead to the removal of all of your active business listings from the website and suspension of your ability to submit business listing on the website.

Relevancy
Your business listing must be for an active business that supplies business to business services to small business owners, corporations and business professionals to be included in the Gold Place Network LLC "BusinessNetworkingEventsNewYorkNY.com" directory.

Intellectual property
You agree not to submit any business descriptions, photographs, or other information contained in each business listing to us unless you have received all necessary rights and authorizations, including from the copyright owner of any photographs, to publish and advertise it on the website.

We prohibit you from submitting any business listing that infringes upon the intellectual property rights of any party, or that otherwise violates the website Terms and Conditions. By submitting listings on the website, you are warrant and represent that you owns or otherwise controls all of the rights to such content including, without limitation, all the rights necessary for you to provide or submit such content. You acknowledge that Gold Place Network LLC cannot police or control all of the content provided by you and/or others that is made available on the website.

Keyword manipulation
We offer the ability to search for business listing on key words. This is designed to enable searchers to narrow their criteria based on specific requirements. Keyword manipulation is unfair to searchers by returning listings that clearly do not meet their criteria. Keywords identified in the business listing description and location description that are clearly not relevant to the business being marketed will be removed and Gold Place Network LLC, in its sole discretion, may terminate your member account and/or refuse you for service.

No third party pop-up windows
Sites which cause third party advertising pop ups and windows to open will not be accepted. Sites already listed will be deleted if they are found to be in breach of this rule.

No pornographic or dubious content
Sites containing "adult" material, unsavoury content, bad language or other dubious content will not be listed.

Your web site must be complete and working
Sites which are full of dead links, have errors or just show a holding page will not be listed.

Your web site must carry contact information
Your web site must carry contact information or a method of communication so that interested parties can make contact with you or make inquiries about your service. This must be available without the need to "Sign in" or "Become a Member".

Use of URL and/or email
Email address and/or url identified in the listing's title, short description, description and location (address) fields will not be approved. Use of URL and/or email address is allowed in an enhanced business listing, and only when it is used in its relevant database fields (Website, Email).

Offensive Language
Use of profanity or vulgar language in any section of the website is strictly prohibited. This includes the use of language that is generally considered obscene, profane, sexual, hateful, or racist in nature. Business listing or user information that includes profane language will be removed from the website immediately. If you submit a business listing which includes such language to the website it will be rejected

Protection of data
While Gold Place Network LLC shall take all reasonable efforts for data backup and business resumption, you are solely responsible for retaining back-up copies of all information, photographs and other materials you provide.

6. Online Conduct
You agree to use the Website only for lawful purposes. You are prohibited from posting on or transmitting through the Website any material that is abusive, vulgar, threatening, harassing, libelous, defamatory, obscene, invades a person's privacy, violates any intellectual or other property rights, or that would otherwise violate any law. You may not post material known to be false. You may not post or transmit any information, software or other material that contains a virus or other harmful component.

We are not responsible for material appearing in the directory section on the Website, except for material signed by one of our identified representatives.

We do not endorse, support, sanction, encourage, verify or agree with the description, comments, opinions or statements posted by users on the Website. We are not responsible for screening material posted by users for libel, obscenity, invasion of privacy, copyright or trademark infringement, accuracy, or for any other reason. We retain, however, the right to modify or remove messages or other material that the Gold Place Network LLC, in its sole discretion, considers infringing, offensive, abusive, defamatory, obscene, stale, or otherwise unacceptable. We also reserve the right to edit materials for any other reason or to terminate your Business Listing. Whether or not we modify or remove such material, users remain solely responsible for the content of their messages or postings.

Unsolicited commercial email (Spam)
We prohibit you to use our website or its tools to generate or send unsolicited commercial email (spam). You may not use the, Email a Friend service or other email services that the website offers to send spam (i.e. unsolicited commercial email) or otherwise send content that would violate this Agreement.

7. Payment Terms - Payment for Business Listing(s)

You agree to pay for all products ordered through the website or via Gold Place Network LLC ‘s sales team using the payment method indicated, and provide Gold Place Network LLC an express authorization to charge the said fees to your payment provider at time of purchase.

All Credit Card payments are handled by PayPal US payment processor and we do NOT record or keep Credit Card information on our Website.

Fees owed depend on the specific type and quantity of Gold Place Network LLC ‘s products, services, information, or deliverables (collectively "the pay services") ordered. Payment of fees shall not be contingent on any events other than the delivery of the ordered pay services. Any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be your responsibility and will be paid for by you. If payment is not current, Gold Place Network LLC may immediately cease to provide any and all the pay services to you.

The fees paid are non-refundable, regardless of whether the pay service(s) is terminated prior to the end of the then-current billing period.

Members with Enhanced or VIP Membership shall receive a reminder for each new yearly billing period at least 2 months before providing you with ample opportunity to renew your membership to avoid interuption of your services. We will send a reminder email at least once and if we do not receive your renewal your listing/s will be removed unless you notify us that you wish to receive our Free membership package.

You must notify Gold Place Network LLC about any billing problems or discrepancies within 30 days after charges first appear on your account statement. If it is not brought to the Gold Place Network LLC 's attention within 30 days, you agree to waive your right to dispute such problems or discrepancies.

8. Termination
The terms of this Agreement are effective until terminated by either party. If you no longer agree to be bound by this Agreement, you must notify us in writing to cancel your membership.

Gold Place Network LLC may, at its sole discretion, (i) discontinue providing you with access to the Website and/or the Services and/or the Pay Services, (ii) require you to cease displaying, distributing or otherwise using the Website and/or the Services and/or the Pay Services, and (iii) suspend or terminate the registration, of any user who violates any of these terms and conditions of use or for any other behavior that the Publisher, in its sole discretion, believes is inappropriate.

9. No Personal Advice - Disclaimer
The Content and Materials on the Website are published in good faith and intended to be for informational purposes only. Gold Place Network LLC has taken all reasonable care that the Content and Materials contained within the Website are accurate at the time of publication; however, the business world is constantly changing especially when reviewed on an industry basis, therefore the information does not constitute an advice and should not be relied upon by any person in making or refraining from making any decision. The information contained in or made available through the Website cannot replace or substitute for the services of trained professionals in any field, including, but not limited to, investment advisor.

The use of the Website and/or the Services and/or the Pay Services is at your sole risk, without warranty of any kind. In no event will we be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of the Website and/or the Services and/or the Pay Services.

10. Indemnification
You agree to defend, indemnify and hold harmless Gold Place Network LLC, its members, affiliates, employees and agents for any loss, damages or costs, including reasonable attorneys' fees, resulting from any and all claims, actions, or demands resulting from (i) your access to, conduct on or use of the Website and/or the Services and/or the Pay Services; (ii) any violation or breach of this Agreement by you.

11. Privacy Policy
We take your privacy seriously and do not sell or use your data in a way that could be considered inappropriate both morally and in the eyes of the governing laws.

Tracking of data
The Website use Google Analytics (USA), 1and1.com.com stats (USA) tracking services ("Statistic Providers") to help analyze how users use the Website. These analytical tools can uses 'cookies', which are text files placed on your computer, to collect standard internet log information and visitor behavior information in an anonymous form. The information generated by the cookie about your use of the Website (including your IP address) is transmitted to Statistic providers. This information is then used to evaluate visitors’ use of the website and to compile statistical reports on website activity.

We will not (and will not allow any third party) to use the statistical analytics tool to track or to collect any personally identifiable information of visitors to our sites. We will not associate any data gathered from these sites with any personally identifying information from any source as part of our use of any statistical analytics tool. The Statistic Providers will not associate your IP address with any other data held by them. Neither us nor our statistical providers will link, or seek to link, an IP address with the identity of a computer user.

Email Address
If you ask to subscribe to our Newsletter, we keep your email address in our mailing lists and use it to send you a copy of our online newsletter. We do not give or sell this list to anyone. We also use email addresses to identify users who ask to subscribe to our Pay Services. We will not include your email address in the Website or disclose your address to anyone.

Google Adsense Advertising
The Website is supported through Google Adsense (USA) for sponsorship and contextual advertising. Google Adsense may use technology such as cookies and web beacons when they advertise on our Website, which will also send these advertisers information including your IP address, your ISP , the browser you used to visit the Website, and in some cases conditions of your browser such as the inclusion of Flash. Google Adsense may also use Geo-targeting technology (using your IP address to provide a location) to allow them to provide targeted offers as well as providing adverts tailored to the content this is referred to as contextual advertising.

Credit Card Payments
All Credit Card payments are handled and processed by Paypal, which is governed by their own Privacy Policy. We do not record or keep personal or financial information such as Credit Card and addresses on our Website servers.

12. Applicable Law
If you require information or believe an error has been made within this document you should in the first instance contact us via email, fax or post.

If any of the terms in this Agreement are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.

This Agreement is governed by the laws of New York State, without regard to its conflicts of law rules. You expressly agree that exclusive jurisdiction for any suit, action or proceeding arising out of or relating to this Agreement shall reside in the New York Court. We do not represent that materials on the site are appropriate or available for use outside of the USA. Persons who choose to access the Website from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

BY USING THE WEBSITE, YOU SIGNIFY YOUR UNDERSTANDING AND AGREEMENT TO COMPLY WITH THE TERMS OF USE IN THIS AGREEMENT.
